QuoteIQ Affiliate Program Terms of Service

These Terms of Service (the “Agreement”) is made between QuoteIQ LLC (the “Company” or “QuoteIQ”), and you, either as an individual, or if you represent an entity, such entity (“Affiliate” or “you”), for participation in the Company’s Affiliate program. Affiliate wishes to introduce referrals and clients to QuoteIQ by using its network and will include certain materials promoting the Company. Company and Affiliate are each referred to as a “Party,” and collectively as the “Parties.”
The Parties agree as follows:
1) Promotional Materials
Company may make available to Affiliate marketing materials, for example, but not limited to: email templates, blogs, talk tracks, social media posts & ads, banner advertisements, button links, text links, and/or other graphic or textual material for display and use on the Affiliate’s website or other marketing channels (the “Promotional Materials”) subject to the terms and conditions of this Agreement.
Affiliate must include the hyperlink back to the Company’s website, as provided by the Company (the “Link”), in order for referrals to be tracked and commissions to be earned hereunder.
2) Use of Promotional Materials
Affiliate’s use and display of any Promotional Materials on Affiliate’s site or other marketing channels shall conform to the following terms:
• a) Affiliate may only use the Promotional Materials for the purpose of promoting the Company’s website (and their products and services) and for linking to the Company’s website via the Link.
• b) Affiliate will not alter or modify the Promotional Materials without the prior written consent of the Company.
3) License
During the term of this Agreement, Company grants to Affiliate a nonexclusive, non-transferable, revocable license (the “License”) to use the Promotional Materials as specified under the terms and conditions of this Agreement.
Company may provide a demo account solely for Affiliate’s own education purposes. Affiliate agrees not to share, copy, display, or make this account available publicly to any third parties.
4) Intellectual Property
Company retains all rights, ownership, and interest in the Promotional Materials, and any derivatives therefrom, and in any copyright, trademark, or other intellectual property in the Promotional Materials.
5) Relationship of Parties
This Agreement shall not create any employment relationship, agency relationship, or partnership between Company and Affiliate. Affiliate is an independent contractor. Affiliate has no authority to bind the Company and shall not make any misrepresentations regarding the Company or its services. Company is not responsible for any taxes owed by the Affiliate.
6) Commissions
• a) Qualified Leads: A Qualified Lead is a prospective customer who contacts the Company through the Link and either (i) submits a lead form and books/attends a demo within 90 days, or (ii) starts a free trial by completing the necessary submission.
Qualified Leads must come through the Link. Invalid or misleading submissions are not eligible.
• b) Enrollments: An Enrollment occurs when a customer through the Link purchases a paid subscription (not free trial) and remains active for 31 days.
• c) Payments: Payments are handled via PartnerStack. Affiliates must maintain correct account information. Incorrect information will void payments.
• d) No Commission Paid For:
• Existing QuoteIQ customers.
• Add-on purchases outside the base subscription.
• Subscriptions canceled within 31 days.
• Failed initial subscription payments.
• Enrollments beyond 90 days of referral.
7) PartnerStack Challenges and Achievement-Based Commission Structure
Company may offer performance-based challenges through PartnerStack where Affiliates can earn bonuses based on milestones such as:
• Number of Qualified Leads.
• Number of Enrollments.
• Conversion rates from demos to subscriptions.
• Promotion of specific features.
Affiliate progress is trackable within PartnerStack. Participation is voluntary but subject to Agreement terms. Fraudulent activities will disqualify participation and bonuses.
8) Affiliate’s Representations and Warranties
Affiliate represents that:
• They have legal authority to enter into this Agreement.
• Their website and marketing materials do not infringe on any rights or host prohibited content (e.g., violent, hateful, unlawful, sexually explicit material).
• They will not use bots, incentivized clicks, or deceptive practices.
• They will not compete against QuoteIQ’s advertising using branded keywords.
9) Compliance with Laws; FTC Guidelines
Affiliate must comply with all laws, including FTC regulations regarding endorsements and testimonials, and must disclose their Affiliate relationship with QuoteIQ when promoting.
10) Indemnification
Affiliate agrees to indemnify and hold harmless the Company against claims or damages arising from:
• Breach of representations or warranties.
• Violations of laws or regulations.
• Infringement of third-party intellectual property (except Company-provided materials).
11) Term
This Agreement remains in force until terminated by either Party with written notice.
12) Limitation of Liability
Company is not liable for lost profits or consequential damages arising from this Agreement.
13) Governing Law
This Agreement is governed by the laws of the State of California.
14) Fraudulent Activities and Prohibited Practices
Strictly prohibited:
• Referrals from outside the U.S. and Canada.
• Misleading or fake lead submissions.
• Automated bots or scripts.
• Incentivized leads without genuine customer interest.
• Participation in “get paid fast” groups.
Violations will result in:
• Forfeiture of commissions.
• Immediate removal from the program.
• Potential legal action.
By participating, Affiliates agree to uphold these standards. Company maintains a zero-tolerance policy against fraud.
End of Agreement.
