QuoteIQ Payments Terms of Service

01 Introduction

These terms and conditions (the “Payment Service Terms” or this “Agreement”) govern any and all use of the QuoteIQ Payments Service. The QuoteIQ Payments Service is a payment solution designed to assist QuoteIQ Users in accepting and processing payments from their End Customers. It is provided through a third-party payment processor on behalf of QuoteIQ, as further detailed herein.

QuoteIQ is not a bank, merchant processor, money transmitter, or financial institution. QuoteIQ is a provider of the Services and the QuoteIQ Payments Service as elaborated in these Payment Service Terms.

The QuoteIQ Payments Service is made available to Users in good standing, at the sole discretion of QuoteIQ at all times. QuoteIQ reserves the right to collect additional information from Users as necessary to provide the QuoteIQ Payments Service, including information required by the Processor for identity verification and underwriting. You agree to provide all requested information promptly and acknowledge that you may not access or use the QuoteIQ Payments Service until such information is provided.

02 QuoteIQ Payments Service Features

If you register for or use the QuoteIQ Payments Service, you will be able to:

• Process card payments through your QuoteIQ account
• Process refunds
• Enable your End Customers to pay electronically, including credit/debit card, ACH bank transfer, and supported wallet payments
• Enable card-on-file convenience for your End Customers
• View transactions and deliver automated receipts
• Receive notifications of payment disputes

Business Purposes. The QuoteIQ Payments Service may only be used for business purposes. You agree not to use the QuoteIQ Payments Service for personal, household, or family purposes.

03 Payment Processor

The QuoteIQ Payments Service is currently provided by Stripe, Inc. as the payment processor (the “Processor”), on the terms of Stripe’s standard agreements as set out in Section 04 below (the “Processor Terms”). QuoteIQ reserves the right to change the payment processor, subject to the terms of our agreement with the Processor.

Order of Precedence

In the event of any inconsistency between this Agreement and the Processor Terms, this Agreement shall prevail — except concerning payment processing or your account with the Processor, in which case the Processor Terms shall prevail. In the event of any inconsistency between this Agreement and the QuoteIQ Terms & Conditions on matters specific to payment processing, this Agreement shall prevail; on all other matters, the Terms & Conditions shall prevail.

04 Processor Terms (Stripe)

In order to use the QuoteIQ Payments Service provided by Stripe, you must first agree to the Stripe Connected Account Agreement and the Stripe Services Agreement applicable in your jurisdiction, and any other applicable Stripe terms indicated therein (collectively, the “Stripe Terms”), all of which are hereby incorporated by reference into these Payment Service Terms.

By ordering, registering for, or using the QuoteIQ Payments Service, you represent and warrant that you have read the Stripe Terms and agree to be bound by them.

05 Fees & Taxes

Transactions processed through the QuoteIQ Payments Service are subject to payment processing fees, platform fees, and other applicable charges. Fees may vary based on payment method, account configuration, processor requirements, risk profile, industry type, dispute history, transaction volume, or other operational factors.

You are responsible for determining, collecting, reporting, and remitting all taxes associated with your sales to your End Customers. QuoteIQ is not responsible for the tax treatment of your transactions. Sales tax on your QuoteIQ subscription will be applied where required by law, as set out in the Terms & Conditions.

06 Registration & Payment Information

Accuracy of Information

You are responsible for all information provided in connection with registering for and using the QuoteIQ Payments Service. You represent and warrant that you are providing true, accurate, and complete information, and you shall indemnify QuoteIQ for any losses arising from your failure to provide accurate information.

User Authorization

By subscribing to or enabling the QuoteIQ Payments Service, you authorize QuoteIQ to collect and process payment information and data for the purposes of providing the service.

External Deposit Account

You must provide account information for an external deposit account owned by you in order to receive payouts. You agree to promptly notify us of any changes to your external deposit account.

07 Customer Consents & Card Network Rules

It is your responsibility to obtain your End Customer’s consent for each transaction — including recurring billing and card-on-file charges — in compliance with applicable legal requirements and card network rules. You agree to comply with all applicable laws and regulations and to refrain from using the QuoteIQ Payments Service for personal, illegal, deceptive, or fraudulent activities.

08 Authorization to Charge; Reserves; Guarantee

Authorization to Charge Payment Methods on File

You authorize QuoteIQ and its payment processors to charge any payment method on file for you to cover any losses, negative balances, disputes, chargebacks, penalties, or other obligations arising under this Agreement or the Terms & Conditions. This authorization remains in effect until all outstanding balances are resolved, regardless of account status or cancellation.

Reserve Account

QuoteIQ may withhold funds or require sums to be held in a reserve account to cover potential or actual losses related to your transactions. QuoteIQ reserves the right to establish, modify, or impose reserve requirements based on risk profile, dispute history, transaction volume, industry type, or processor requirements. Reserve terms will be communicated to you, and reserves may be held for any duration deemed necessary by QuoteIQ or its payment processors.

Personal Guarantee

QuoteIQ may require you to provide a personal or company guarantee for amounts owed under these Payment Service Terms.

09 Chargebacks, Disputes & Negative Balances

You are solely responsible for all chargebacks, disputes, reversals, refunds, returned payments, fines, penalties, and associated fees arising from transactions processed through the QuoteIQ Payments Service. QuoteIQ is not liable for payment disputes between you and your End Customers.

Negative account balances constitute a debt owed to QuoteIQ, and you may be required to enter a repayment plan agreement. QuoteIQ reserves the right to recover disputed amounts, offset balances, debit payment methods on file, withhold payouts, establish or increase reserves, or suspend payment functionality without liability to QuoteIQ. These remedies apply regardless of whether the disputed transaction occurred prior to, during, or after cancellation of a QuoteIQ subscription or account.

10 Suspension & Termination of Payment Services

QuoteIQ reserves the right to suspend, delay, restrict, or terminate payment functionality at any time if fraud, excessive disputes, elevated risk, suspicious activity, compliance concerns, or unpaid balances are identified. Payment processing availability may vary by region and jurisdiction, and QuoteIQ makes no representation or guarantee that payment services are available in all locations or that all payment methods are supported in every jurisdiction.

11 Disclaimers & Limitation of Liability

QuoteIQ shall not be liable for processor outages, payout delays, frozen or held funds, reserve requirements, underwriting decisions, processor terminations, banking interruptions, failed transactions, declined payments, payment reversals, chargebacks, or any other action, inaction, or decision made by a third-party payment processor, financial institution, or banking partner, whether or not specifically enumerated herein. QuoteIQ cannot guarantee completion of any customer transaction.

The disclaimers in Section 22 and the limitation of liability in Section 23 of the Terms & Conditions — including the cap of amounts paid to QuoteIQ in the twelve (12) months preceding the claim — apply in full to the QuoteIQ Payments Service and this Agreement.

12 Privacy

Information collected in connection with the QuoteIQ Payments Service is handled as described in the QuoteIQ Privacy Policy. Payment data is subject to Stripe’s Privacy Policy and the Stripe Terms.

13 Governing Law & Dispute Resolution

This Agreement is governed by, and any disputes arising out of or relating to this Agreement or the QuoteIQ Payments Service are resolved in accordance with, Section 25 of the QuoteIQ Terms & Conditions, as amended from time to time, which is incorporated by reference into this Agreement.

14 Changes to These Payment Service Terms

We may update these Payment Service Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page and post the revised terms at this URL. For material changes, we will notify you via email or in-app notification. Your continued use of the QuoteIQ Payments Service after revised terms are posted constitutes your acceptance of the changes.
